The General Assembly in the fields of conflict between legal opportunities

The new Swiss Corporate Law has come into effect on 1 January 2023. It allows the use of electronic resources also for conducting Annual General Meetings. After three years of gaining experience with virtual conferences during the pandemic, the question today is whether physical General Assemblies are becoming a thing of the past.

The Nimbus Advisory Board appointed on 25 November 2022 has sent out an invitation to attend the Nimbus Conference in order to discuss this question with people in charge of organizing General Assemblies.

The opening speech was held by Nimbus founder Hansjörg Stucki. He highlighted the milestones in Nimbus’ history and explained the company’s experience and competences in the field.

Dr. iur. Felix Horber, Secretary General of Swiss Re and President of the Nimbus Advisory Board, then reflected on the General Assembly’s rules of the game, i. e. the regulations applying to changes to be made to published proposals and agenda items.

Jennifer Meyer-Kluge, Corporate Legal Counsel at Swatch Group, and Nimbus CTO Daniel Stucki provided an overview of the first virtual AGM held by an internationally active Swiss company listed on the SIX Swiss stock exchange. They shared the experiences gained when preparing and carrying out this General Assembly with the public.

The conference was rounded off with a panel discussion on this topic: “Will the physical General Assembly soon be a thing of the past?” Led by their host Jan Müller, Michèle Sutter-Rüdisser, professor at the HSG Institute for Law and Economics, Jennifer Meyer-Kluge, Felix Horber, and Daniel Stucki shared their thoughts on the matter.
