Nimbus ShApp
The new company law requires that powers of attorney and instructions to the independent proxy may also be issued electronically NIMBUS ShApp makes this possible and helps to digitize all communications between a company and its stakeholders.
According to the new, i. e. revised company law (Art. 689c OR), shareholders must be able to issue their power of attorney and instructions to the independent proxy electronically. Many Nimbus clients are using NIMBUS ShApp to ensure this process. The proven platform also provides digital options for interaction between a company and its stakeholders. For example, shareholders can request their invitation to the Annual General Meeting, including all relevant documentation, to be sent by post. Alternatively, they can receive their invitation by post, including a short summary of the information, and decide to view further details online. A third option would be to have all interaction digitized, i. e. to be invited electronically only. In other words, recipients can determine individually how much paper they want. Those choosing not to rely on paper at all will have the documents made available to them by email and via download: a sustainable solution that saves paper and postage expenses.
NIMBUS ShApp users can answer electronically to the invitation to the AGM, either without providing personal data – which ensures a very low entry threshold for registration – or by seizing the opportunity to register their personal email address for further digital communications.
NIMBUS ShApp is now available in an updated and even more user-friendly version. Companies have always been able to offer a customized NIMBUS ShApp version to their stakeholders, including their own CI/CD and specific content. During this development process, Nimbus cooperated with a long-standing client and took their suggestions and requests into account for the updated solution.
NIMBUS ShApp is available in the Swiss national languages and in English. The platform is being used by both stock corporations and cooperatives to communicate with their shareholders or cooperative members.
That’s how NIMBUS ShApp works
Shareholders are being sent an email or a letter by post that provides them with a link and/or a QR code to log in via their user ID and password. They can then access the information about the Annual General Meeting that the company has made available.
When accessing the platform, shareholders can define whether they want the AGM invitation and information to be sent to them electronically or by post in future. They can sign up for attending the meeting personally or delegate their power of attorney to the independent proxy, providing instructions for exercising their voting rights.
NIMBUS ShApp is part of the NIMBUS Solutions Suite. Instructions for every item on the agenda are recorded on the platform. The company can define a deadline for data entries. These are directly saved in the “NIMBUS GV” AGM solution.
