Review of the 2025 AGM season… and an outlook for 2026

General Meetings are a key pillar of corporate governance. Nimbus supports more than 100 companies in the preparation and execution of their AGM: physical, virtual, or hybrid. With NIMBUS AR, NIMBUS GV, and NIMBUS ShApp, the provider’s end-to-end technology is the foundation for a legally compliant AGM implementation. Nimbus’ experience of many years and attentive customer support ensure that meetings run smoothly.

Looking back on Nimbus’ 2025 AGM season

In 2025 Nimbus was again a reliable partner for many companies that needed to carry out their physical, virtual, or hybrid Annual General Meetings successfully. At many of these events, the proven NIMBUS VotingSystem was used for voting procedures. Nimbus accompanied the organizations throughout the entire proceedings: from preparation, invitation and response processes to on-site AGM execution, including access control and professional voting management.

Some figures to describe the 2025 AGM season:

  • more than 1 million shareholder invitations dispatched
  • nearly 200.000 responses scanned for registering and/or voting
  • approximately 150.000 digital registrations and votings processed
  • around 30.000 attendees supported at physical or digital events

Trends and developments

As a result of an ever-younger shareholder structure, the digitalization of communications is slowly but steadily increasing. Today, approximately 40% of stakeholder communication takes place electronically. The NIMBUS ShApp web platform enables flexible, nearly paperless invitation and voting processes. Some clients, such as Hapimag AG, have linked their customer portals with NIMBUS ShApp using an interface and Single-Sign-On. This saves time, a lot of money and is environmentally friendly.

Although virtual events are more cost-effective in terms of venue rental and hospitality, their technological requirements should not be underestimated. The proportion of presence-based events is therefore clearly higher today. While many companies have reduced their investments in the event-like elements of an AGM, personal exchange is still very much appreciated for cultivating shareholder loyalty.

After the 2025 AGM season is right before the 2026 AGM season

Nimbus makes use of the weeks between two AGM seasons to reflect its digital and physical processes and procedures, and to optimize these if necessary. The provider’s goal is to make organizing and conducting AGMs even more efficient and secure.

In parallel, Nimbus software is continuously undergoing further development. Improvements arise directly from practical experience, for software engineers are always working onsite during AGMs. Development is entirely done in Ziegelbrücke, so that changes to meet individual customer requirements can be addressed and implemented quickly. Today, some of our clients have already started to use NIMBUS ARweb, our browser-based share register solution.

A new generation of Nimbus voting devices was extensively tested in 2025. These VotingUnits were developed inhouse by Nimbus and are specifically produced for us. Following successful internal testing, the 5th generation of devices premiered at Saanen’s municipal meeting. 120 attendees cast their votes effortlessly using the new devices. Registration based on shareholder ID and automatic customization now run even more efficiently; so does the counting of votes. With its optimized touch display, the new hardware proved very effective and will be used for more events in 2026.

Outlook for Nimbus’ 2026 AGM season

In December, the season started all over again. Since the earliest AGM of the 2026 season takes place on 23 January 2026, Nimbus dispatched the first invitations for 2026 on 22 December 2025. Public limited companies, cooperatives, associations, and municipalities will then carry out their Assemblies until the summer, with April being THE AGM month par excellence. During that time, it is possible that several General Meetings are held on one day. This period is always intense for the Nimbus team, but we are ideally set up for this task. In 2025, Nimbus hired several new employees, including many young talents. An experience of 35 years, combined with new energies, new ideas and new drive: this mix makes Nimbus stand out and delivers real benefits to our customers, in particular with regards to digitalizing share register management and General Assemblies.

What role does digitalization play for Annual General Meetings?

Shareholder communications are becoming increasingly digital. Invitations, registration and voting are more and more often handled electronically. Digital solutions increase efficiency, security, and transparency. Digital portals such as NIMBUS ShApp enable paperless communication, streamlined processes and improved traceability: for the AGM’s preparation as well as during the execution phase. However, as a core element for shareholder adherence, live General Meetings continue to dominate in Switzerland.

Are virtual General Assemblies well established in Switzerland?

Virtual General Meetings are established in terms of technology and legally possible, but they are still used selectively. Many companies prefer physical or hybrid formats because ensuring personal exchange with shareholders is important for them.

How does Nimbus support companies with their AGM?

Nimbus assists companies from A to Z with all tasks related to their General Meetings: starting out with managing their share register, then handling the invitation and response process and leading up to virtual or onsite implementation, including access control and electronic voting. Everything is provided from a single source, by a team that has an experience of 35 years.

What are the benefits for shareholders when using NIMBUS ShApp?

NIMBUS ShApp provides a secure digital access to the General Assembly. It enables shareholders to receive invitations online, to register for an AGM electronically, to access digital documents, and to cast their votes conveniently by electronic means. But NIMBUS ShApp is also a versatile organizational tool: the platform can be used for example to register and manage guests, to record menu preferences or to coordinate childcare during the AGM. All functionalities are seamlessly integrated in NIMBUS ShApp and can be used regardless of location and time.

Is it possible to connect NIMBUS ShApp directly with a company’s platforms, i. e. via a Single-Sign-On solution for shareholders?

Yes, it is. Technically, NIMBUS ShApp directly connects with a company’s existing platforms. An interface with Single-Sign-On (SSO) enables shareholders to access the NIMBUS ShApp environment directly via the company’s customer portal without having to log in again. This solution was implemented for instance for Hapimag’s client portal: once they are logged in, shareholders can navigate seamlessly to the digital voting platform. The result: a significant increase in voter turnout and substantial savings in postage, scanning, and post-processing costs.
