Proficient digital communication with shareholders using NIMBUS ShApp®

According to the new corporate law, shareholders must be given the opportunity to electronically issue powers of attorney and instructions to their independent proxy. Many clients rely on NIMBUS ShApp.

The platform allows further electronic interaction between a company and its shareholders. These can decide, for instance, if they wish to receive their invitation to the AGM by email or by post and whether they want to have the documents to study beforehand in printed or digital format. This sustainable option helps to save paper and postage.

What our platform can do

Companies can provide their shareholders with a customized version of NIMBUS ShApp, in a design aligned with the company’s individual CI/CD and featuring its own content. The platform is available in the Swiss national languages as well as in English.

Users can respond to the invitation for the AGM electronically without having to register any personal data. Alternatively, they can submit their personal information, including their email address and preferences for future digital communication, and then log in securely using their individual access data.

What is NIMBUS ShApp and what are the solution’s benefits?

NIMBUS ShApp is an electronic communication platform for direct and secure digital communications between an organization and its stakeholders. It supports invitation and message mailings, online registration or cancellation for the AGM, delegation of votes to the independent proxy, as well as digital voting at virtual or hybrid meetings. All these functions are processed via a secure, legally compliant channel: fast, traceable, and cost-effective.

What added value can NIMBUS ShApp offer to the Board of directors, the CEO and the IR managers?

The Board and the CEO gain a transparent overview and complete control of shareholder communications. All messages sent are documented, delivered on time and traceable. This mitigates the risk of information gaps and helps to meet compliance requirements at all times. ShApp is also an essential tool for the Investor Relations team: it allows a targeted and audit-proof communication and reduces manual procedures. Important documents, including the Annual Report or the AGM invitation, are delivered digitally, while feedback from shareholders can be systematically evaluated.

How do shareholders benefit from the use of NIMBUS ShApp?

Shareholders receive information directly via the secure platform, thus avoiding email risks and too much paperwork. They can access messages, the agenda and the AGM invitation at any time, take part in votes or edit their preferences. All this is enabled by a centralized, user-friendly platform hosted on Swiss servers.

How does NIMBUS ShApp integrate into existing system environments?

Interfaces to clients’ and portal systems can be implemented flexibly because Nimbus develops its proprietary software inhouse. For example, a Single-Sign-On feature was set up for customers, enabling shareholders to access the ShApp environment directly via the client’s portal without having to log in twice.

How does Nimbus guarantee data protection and confidentiality?

NIMBUS ShApp is operated exclusively in infrastructures located in Switzerland. Nimbus’ information security management system (ISMS) is certified according to ISO/IEC 27001:2022. All data is transmitted in encrypted form and stored in redundant Swiss data centres. Data protection and integrity are an essential part of Nimbus’ ISMS.

Can NIMBUS ShApp also be used in international corporations?

Yes, it can. The platform is multilingual, scalable, and customizable to the corporation’s individual CI/CD. This makes it suitable for international corporate structures too. Delivery times, languages, and recipient groups can be flexibly defined, which is ideal for businesses with a global shareholder base.

What distinguishes NIMBUS ShApp from email or postal communication?

NIMBUS ShApp is secure, verifiable, and proficient. Unlike with traditional channels, every delivery is documented and every action is traceable, legally compliant and in accordance with the DPA.
