First virtual AGM of an internationally operating Swiss company listed at SIX Swiss Exchange

The voting system provided by Nimbus worked smoothly and safely

Since 1 January 2023, Article 701 d of the new Swiss Corporate law allows joint-stock companies to conduct their Annual General Meetings with physical attendance, in purely virtual or also in a hybrid form, i. e. enabling both types of participation. At the beginning of May 2023, a Swiss company listed on the Swiss stock exchange was the first to hold its AGM virtually. Shareholders could exercise their rights – voting and election rights or right to speak – exclusively by electronic means.

The Swiss company with international operations had identified the potential of a virtual Annual General Meeting as early as 2020. At the AGM 2021, its shareholders approved the required amendments to the Articles of Association. During this time, Nimbus extended its NIMBUS GV product (part of the NIMBUS Solutions Suite), adding the Internet as a new voting channel. This development involved substantial changes to the software. Finally, the listed company decided in autumn 2022 to carry out its Annual General Meeting virtually for the first time in 2023. Nimbus participated in the conception and organization of the virtual AGM from the very beginning.

Nimbus’ services included registering bearer shareholders based on the submitted deposit certificates, managing the invitation process for registered shareholders, processing the reply forms and operating the platform for issuing power of attorney and instructions to the independent proxy. Nimbus hosted the entire system on its own ISO/IEC 27001 certified data centers and was in charge of voting management, i. e. the digital voting process.
